• Statutory Compliance: Help with global secretarial filings, statutory audit readiness, local reporting standards, and corporate governance consulting.
• Corporate Advisory: Premium transaction support, including M&A advisory, corporate financing strategies, business evaluations, and strategic consulting.

While we strive to provide the highest standard of professional services, you acknowledge that our Services do not constitute legal representation, formal statutory audit opinions (unless explicitly engaged as a registered auditor in the respective jurisdiction), or certified public bookkeeping opinions without a mutually signed Engagement Letter detailing the specific scope of work.

Unless otherwise indicated, the Website, the Software, and the Services, including all source code, databases, functionality, design, layouts, templates, spreadsheets, training materials, methodologies, graphics, logos, and text (collectively, the “Content”) and the trademarks, service marks, and logos contained therein (the “Marks”) are owned or controlled by us, or licensed to us, and are protected by copyright, trademark, and other intellectual property rights.

NOTWITHSTANDING ANYTHING TO THE CONTRARY CONTAINED HEREIN, OUR LIABILITY TO YOU FOR ANY CAUSE WHATSOEVER AND REGARDLESS OF THE FORM OF THE ACTION, WILL AT ALL TIMES BE LIMITED TO THE AMOUNT PAID, IF ANY, BY YOU TO US FOR THE SERVICES DURING THE SIX (6) MONTH PERIOD PRIOR TO ANY CAUSE OF ACTION ARISING.

You agree to defend, indemnify, and hold us harmless, including our subsidiaries, affiliates, and all of our respective officers, agents, partners, and employees, from and against any loss, damage, liability, claim, or demand, including reasonable attorneys' fees and expenses, made by any third party due to or arising out of:

• Your contributions, files, or records uploaded to the Software.
• Your use of the Services in violation of these Terms.
• Any breach of your representations and warranties set forth in these Terms.
• Your violation of the rights of a third party, including but not limited to intellectual property rights.
• Any overt harmful act toward any other user of the Website or Software with whom you connected.

These Terms and your use of the Website, Software, and Services are governed by and construed in accordance with the laws of the following jurisdictions, depending on your contracting entity:

• For US Clients: The laws of the Commonwealth of Massachusetts, USA, without regard to its conflict of law principles. Any legal action shall be brought exclusively in the state or federal courts located in Boston, Massachusetts.
• For India and Global Clients: The laws of the Republic of India, with exclusive jurisdiction in the courts of Bangalore, Karnataka.

Any dispute, controversy, or claim arising out of or relating to this agreement shall be settled through binding arbitration in accordance with the arbitration rules of the respective jurisdiction before a single arbitrator. The place of arbitration shall be Boston, MA (for US disputes) or Bangalore, India (for Indian disputes).

We reserve the right, in our sole discretion, to make changes or modifications to these Terms at any time and for any reason. We will alert you about any changes by updating the “Last Updated” date of these Terms, and you waive any right to receive specific notice of each such change.

It is your responsibility to periodically review these Terms to stay informed of updates. You will be subject to, and will be deemed to have been made aware of and to have accepted, the changes in any revised Terms by your continued use of the Website or Services after the date such revised Terms are posted.
